These Terms & Conditions (“Terms,” “Agreement,” or “T&C”) constitute a legally binding agreement between Xpozure Marketing, LLC, a Pennsylvania limited liability company doing business as Stratbotic (“Stratbotic,” “Provider,” “we,” “us,” or “our”), and any individual or business entity (“Client,” “you,” or “your”) purchasing, subscribing to, accessing, or using any Stratbotic services, software, automations, dashboards, AI systems, marketing systems, reporting tools, or related offerings (collectively, the “Services”). By completing checkout, submitting payment, clicking “I Agree,” accessing any dashboard, or using any part of the Services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree to these Terms, you may not access or use the Services.
1. Services Overview
Stratbotic is a technology-enabled growth systems service powered by Xpozure Marketing, LLC. Services may include, but are not limited to:
  • AI chatbots
  • AI voice agents
  • CRM systems
  • automation workflows
  • call tracking
  • lead attribution
  • PPC campaign management
  • GEO / SEO / Near-Me optimization
  • Google Local Services Ads
  • business listings management
  • review management
  • dashboards and reporting
  • SMS and email systems
  • lead recovery systems
  • conversion optimization systems
  • website integrations
  • accessibility-related technologies
  • growth strategy consulting
Certain services may be performed directly by Stratbotic or through affiliated operational partners, technology vendors, software providers, specialized fulfillment teams, subcontractors, or third-party platforms.
2. No Guarantee of Results
Client acknowledges that marketing, advertising, SEO, AI systems, lead generation, and automation performance are influenced by numerous external factors beyond Provider’s control. Stratbotic does not guarantee:
  • rankings
  • revenue
  • ROI
  • lead volume
  • conversion rates
  • booked appointments
  • customer retention
  • advertising performance
  • AI visibility
  • placement
  • Google rankings
  • map rankings
  • cost per lead
  • business growth
Any projections, examples, growth estimates, forecasts, or case studies are illustrative only and should not be interpreted as guarantees of future performance. Results vary based on:
  • market conditions
  • competition
  • client responsiveness
  • staffing
  • internal sales ability
  • pricing
  • geographic location
  • advertising budgets
  • platform algorithms
  • customer demand
  • economic conditions
  • implementation consistency
  • third-party platform changes
3. Client Responsibilities
Client acknowledges that Stratbotic provides growth infrastructure, automation systems, optimization tools, and strategic support — not operational control of Client’s business. Client remains solely responsible for:
  • responding to leads
  • customer communication
  • staffing
  • scheduling
  • sales closing
  • pricing
  • service fulfillment
  • customer satisfaction
  • internal operations
  • legal compliance
  • reviewing public-facing AI responses
  • reviewing automation outputs
  • approving messaging and campaigns
Stratbotic shall not be responsible for lost sales opportunities caused by:
  • delayed response times
  • missed calls
  • poor customer service
  • internal staffing limitations
  • pricing issues
  • operational inefficiencies
  • failure to follow recommendations
4. AI Systems & Automation Disclosure
Certain Services may utilize:
  • artificial intelligence
  • automation systems
  • machine learning tools
  • transcription systems
  • AI-generated responses
  • chatbot systems
  • AI voice technologies
  • predictive workflows
  • automated communication tools
Client understands and acknowledges that AI-generated outputs may occasionally:
  • contain inaccuracies
  • misunderstand context
  • generate incomplete responses
  • require human review
  • produce unintended results
Client remains solely responsible for:
  • reviewing outputs
  • approving messaging
  • ensuring legal compliance
  • ensuring accuracy of business information
  • monitoring customer-facing systems
Stratbotic does not guarantee the accuracy, completeness, or reliability of AI-generated outputs.
5. Call Recording & Transcript Disclosure
Client acknowledges and agrees that communications processed through the Services may be:
  • recorded
  • monitored
  • transcribed
  • analyzed
  • stored
for purposes including:
  • quality assurance
  • training
  • operational optimization
  • analytics
  • reporting
  • troubleshooting
  • automation improvement
Client is solely responsible for ensuring compliance with all applicable:
  • call recording laws
  • consent laws
  • privacy laws
  • telecommunications laws
  • AI disclosure laws
  • SMS/email communication regulations
including but not limited to:
  • TCPA
  • CAN-SPAM
  • state recording consent laws
  • carrier rules
  • applicable federal and state regulations
6. Third-Party Platforms & Providers
Many Services rely on third-party software, platforms, infrastructure providers, telecom carriers, advertising platforms, publishers, AI providers, or integrations. These may include, but are not limited to:
  • Google
  • Meta
  • OpenAI
  • Anthropic
  • Stripe
  • CRM providers
  • telecom providers
  • AI vendors
  • directory networks
Stratbotic is not responsible for:
  • outages
  • suspensions
  • platform bans
  • algorithm updates
  • rejected ads
  • third-party software failures
  • API changes
  • carrier disruptions
  • listing removals
  • Google Business Profile issues
  • account restrictions
  • AI platform limitations
Client acknowledges that third-party platforms maintain independent policies and operational control.
7. Subscription Terms & Billing
Most Services are subscription-based and renew automatically unless canceled according to these Terms. By purchasing Services, Client authorizes Stratbotic and its payment processors to charge all applicable:
  • subscription fees
  • setup fees
  • usage fees
  • management fees
  • overage charges
  • taxes
  • add-on services
Payments are due according to the billing schedule selected during checkout. Failure to make timely payment may result in:
  • paused campaigns
  • suspension of automations
  • revoked dashboard access
  • disabled systems
  • termination of Services
Past-due balances may accrue interest at: 1% per month or the maximum amount permitted by law. Client agrees to reimburse reasonable collection costs and attorney fees related to unpaid balances.
8. No Refund Policy
ALL PAYMENTS ARE FINAL. All:
  • subscriptions
  • onboarding fees
  • setup fees
  • implementation fees
  • management fees
  • software fees
  • automation fees
  • AI services
  • marketing services
are non-refundable once onboarding, setup, implementation, account provisioning, campaign preparation, or work has begun. Client agrees not to initiate chargebacks for validly delivered Services. Improper chargebacks constitute a breach of this Agreement.
9. Cancellation Policy
Services renew automatically unless canceled in writing. Cancellation requests must be submitted in writing at least: thirty (30) days prior to the upcoming billing date. Cancellation requests submitted within the 30-day period will apply to the following billing cycle. No refunds or prorated credits will be issued for:
  • partial months
  • unused time
  • setup work
  • onboarding completed
  • services
  • active billing periods

10. Dashboard Access & Credentials
Client may receive access to dashboards, reporting systems, automations, portals, integrations, or related systems. Client is responsible for:
  • safeguarding credentials
  • maintaining account security
  • restricting unauthorized access
  • activities conducted under their accounts
Stratbotic reserves the right to:
  • suspend access
  • revoke permissions
  • disable systems
  • remove integrations
for:
  • nonpayment
  • abuse
  • security concerns
  • legal risk
  • policy violations
11. Intellectual Property
All Provider-owned:
  • systems
  • automations
  • frameworks
  • workflows
  • methods
  • templates
  • dashboards
  • scripts
  • branding
  • software
  • implementation methods
  • internal processes
remain the exclusive property of Stratbotic and/or Xpozure Marketing, LLC. Client may not:
  • copy
  • resell
  • sublicense
  • reverse engineer
  • distribute
  • recreate
  • commercially exploit
Provider-owned systems or materials without written consent.
12. Limitation of Liability
To the fullest extent permitted by law, Stratbotic shall not be liable for:
  • indirect damages
  • consequential damages
  • lost profits
  • lost revenue
  • business interruption
  • lost opportunities
  • data loss
  • reputational harm
  • platform-related losses
Total aggregate liability under this Agreement shall not exceed the total amount paid by Client to Stratbotic for the applicable Service during the preceding twelve (12) months.
13. Indemnification
Client agrees to defend, indemnify, and hold harmless Stratbotic, Xpozure Marketing, LLC, affiliated providers, contractors, fulfillment partners, software vendors, employees, and agents from claims arising out of:
  • Client misuse
  • unlawful communications
  • advertising violations
  • privacy violations
  • AI misuse
  • unauthorized data use
  • customer disputes
  • Client content
  • regulatory violations
  • operational failures
14. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of: The Commonwealth of Pennsylvania. Venue for disputes shall be: Lehigh County, Pennsylvania. Client agrees that any disputes shall first attempt informal resolution before legal proceedings. Stratbotic reserves the right to require binding arbitration where permitted by law. Client waives participation in:
  • class actions
  • collective actions
  • representative lawsuits
to the fullest extent permitted by law.
15. Electronic Communications Consent
By using the Services, Client consents to receive:
  • emails
  • text messages
  • account notifications
  • onboarding communications
  • billing notices
  • support messages
  • operational communications
from Stratbotic and affiliated operational systems. Client may opt out of marketing emails but may still receive operational or account-related communications.
16. Modifications
Stratbotic reserves the right to modify:
  • Services
  • pricing
  • systems
  • features
  • support structure
  • these Terms
at any time. Continued use of Services following updates constitutes acceptance of the revised Terms.
